End User License Agreement

This End User License Agreement ("EULA") is a legal agreement between you (an individual or a single legal entity, "Licensee") and Zink Tools, Orlando, Florida, USA ("Licensor"), for the Zink Tools plugin software, including all plugins, presets, installers, documentation, and updates (the "Software"). By installing, activating, or using the Software, you agree to this EULA. If you do not agree, do not install the Software and see the Refund Policy.
1. License Grant
Subject to payment and compliance with this EULA, Licensor grants you a non-exclusive, non-transferable, perpetual license to install and use the Software edition you purchased (Single Plugin, Category Pack, or Full Suite) on up to the number of machines ("seats") stated at purchase, used by a single person per seat. "Perpetual" means the license does not expire; it does not mean every future product is included — update entitlements follow your tier as described at purchase.
2. Permitted Use
- Commercial work is fully allowed. Anything you render with the Software — client work, films, videos, streams, games, broadcast — is yours, royalty-free, with no attribution required.
- You may install the Software on a replacement machine after deactivating (or upon our reasonable verification if the old machine is dead).
- Freelancers: a single-seat license follows the person, and may be installed on your desktop and laptop provided only you use it and not simultaneously.
- Render-only installations on machines you control (network render nodes running aerender) do not consume a seat, where technically supported.
3. Restrictions
You may NOT:
- copy (except one backup), distribute, rent, lease, lend, sell, sublicense, or host the Software for third parties;
- share license keys, or publish keys or download links;
- reverse engineer, decompile, disassemble, or modify the Software, or remove proprietary notices, except to the extent applicable law expressly permits despite this limitation;
- circumvent license enforcement or activation;
- use the Software to develop a competing product by systematically replicating its effects;
- transfer the license except as a one-time permanent transfer of the entire license to another party who accepts this EULA, with written notice to Licensor.
4. Ownership
The Software is licensed, not sold. Licensor retains all right, title, and interest in the Software and all intellectual property rights therein. Your output (renders and projects) belongs to you.
5. Updates and Support
Your tier's update entitlement is stated at purchase (e.g., Full Suite includes all future plugins at no charge). Updates may modify or retire individual effects; retired effects remain available in the last release that contained them. Support is provided by email on a reasonable-efforts basis. Licensor has no obligation to maintain compatibility with any future host-application version, but historically ships compatibility updates quickly.
6. Trial and Promotional Versions
Trial builds, if offered, may be time-limited or feature-limited (e.g., watermarked) and are provided solely for evaluation. Promotional or free plugins are licensed under this EULA as a zero-price tier.
7. Term and Termination
This EULA is effective until terminated. It terminates automatically if you materially breach it and do not cure the breach within 14 days of notice. Upon termination you must uninstall and destroy all copies of the Software. Sections 4 and 8–11 survive termination. A refund issued under the Refund Policy terminates the corresponding license.
8. Warranty Disclaimer
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR MEET YOUR REQUIREMENTS. YOU ARE RESPONSIBLE FOR BACKING UP YOUR PROJECTS. SOME JURISDICTIONS DO NOT ALLOW EXCLUSION OF IMPLIED WARRANTIES; IN THAT CASE THEY ARE LIMITED TO THE MINIMUM PERIOD ALLOWED BY LAW.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, CORRUPTED PROJECTS, OR MISSED DEADLINES, ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY. LICENSOR'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE LICENSE GIVING RISE TO THE CLAIM.
10. High-Risk Use
The Software is a creative tool. It is not designed for use in life-support, medical, nuclear, aviation-control, or other environments where failure could cause death, injury, or severe damage, and you may not use it in such environments.
11. Governing Law
This EULA is governed by the laws of the State of Florida, USA. Exclusive venue for disputes lies in the state or federal courts of Orange County, Florida, as set out in the Terms of Service. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
12. U.S. Government End Users
The Software is "commercial computer software" and is licensed to U.S. Government end users only with the rights granted to all other users under this EULA, consistent with FAR 12.212 and DFARS 227.7202.
