Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Zink Tools website, store, and services (collectively, the "Services"), operated from Orlando, Florida, USA ("Zink Tools," "we," "us"). By using the Services, you agree to these Terms. Software you purchase or download is additionally governed by the End User License Agreement (EULA); if these Terms and the EULA conflict regarding the software, the EULA controls.

1. Eligibility

You must be at least 18 years old, or the age of majority where you live, to purchase from the Services. By purchasing, you represent that you meet this requirement and that any information you provide is accurate.

2. Purchases, Pricing, and Taxes

• All prices are in U.S. dollars unless stated otherwise. Prices may change at any time; changes do not affect completed purchases.
• Payments are processed by third-party processors (e.g., Stripe, Payhip). Your payment is also subject to their terms.
• You are responsible for any applicable sales tax, VAT, or similar taxes not collected at checkout where the law places that obligation on you.
• Obvious pricing errors (e.g., a listing at $0 due to a mistake) may be canceled and refunded even after checkout.
• Refunds are governed by the Refund Policy.

3. Digital Delivery

Products are delivered digitally — download links and license keys are sent to the email address provided at checkout. It is your responsibility to provide a working email address and to keep your license keys secure. We will re-issue keys to the original purchase email upon verification.

4. Acceptable Use

You agree not to:

• share, resell, sublicense, or publicly post license keys or download links;
• circumvent, disable, or tamper with license enforcement or any security feature;
• reverse engineer, decompile, or disassemble the software except where such restriction is prohibited by applicable law;
• use the Services to infringe any third party's rights or violate any law;
• scrape, overload, or interfere with the operation of the website or license servers;
• misrepresent an affiliation with Zink Tools or use our name or marks without permission.

We may suspend or terminate access, including revoking licenses obtained fraudulently (e.g., stolen cards, chargeback abuse, key sharing), for material violation of these Terms.

5. Intellectual Property

The Services, the software, and all associated content (code, design, text, graphics, names, and logos) are owned by Zink Tools and protected by copyright, trademark, and other laws. Purchasing a license grants you the limited rights described in the EULA — it does not transfer ownership of anything. Content you create using the plugins (your renders, videos, and projects) is entirely yours, including for commercial use.

6. Third-Party Software and Marks

Adobe, After Effects, and related marks are trademarks of Adobe Inc. Zink Tools is an independent product and is not affiliated with, endorsed by, or sponsored by Adobe. You are responsible for maintaining your own valid licenses to any third-party host software.

7. DMCA / Copyright Complaints

We respect intellectual property rights. If you believe content on the Services infringes your copyright, send a notice compliant with 17 U.S.C. § 512(c)(3) to hello@zinktools.com with the subject "DMCA Notice," including: identification of the work, the material claimed to infringe and its location, your contact information, a good-faith statement, a statement of accuracy under penalty of perjury, and your physical or electronic signature. We may remove material and, where appropriate, terminate repeat infringers.

8. Disclaimer of Warranties

THE SERVICES AND ALL SOFTWARE ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPATIBLE WITH EVERY SYSTEM CONFIGURATION. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZINK TOOLS AND ITS OWNER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOST RENDERS, MISSED DEADLINES, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SERVICES OR SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID US FOR THE PRODUCT GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

10. Indemnification

You agree to indemnify and hold harmless Zink Tools and its owner from claims, damages, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms or your misuse of the Services or software.

11. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law principles. Subject to Section 12, any dispute shall be brought exclusively in the state or federal courts located in Orange County, Florida, and you consent to personal jurisdiction there.

12. Dispute Resolution; Informal Resolution First

Before filing any claim, you agree to contact us at hello@zinktools.com and attempt in good faith to resolve the dispute informally for at least 30 days. Most issues (refunds, activation problems, billing errors) are resolved this way in days. Either party may bring an individual claim in small-claims court in Orange County, Florida instead. To the extent permitted by law, both parties waive any right to a jury trial and agree that disputes will be resolved on an individual basis — class actions and class arbitrations are waived.

13. Export Compliance

You may not use or export the software in violation of U.S. export laws and regulations, and you represent you are not located in an embargoed country or on any U.S. government restricted-party list.

14. Changes to the Services and Terms

We may modify or discontinue any part of the Services at any time. We may update these Terms; the "Last updated" date reflects the current version. Material changes take effect upon posting. Your continued use of the Services after changes constitutes acceptance.

15. General

If any provision of these Terms is held unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. These Terms, the EULA, the Refund Policy, and the Privacy Policy are the entire agreement between you and us regarding the Services. You may not assign these Terms; we may assign them in connection with a sale of the business.
